Senior Legal Counsel (Corporate Banking and Treasury)

We are seeking an experienced and highly skilled Senior Legal Counsel to join our legal team at ICBC. This role is integral to our operations, focusing on providing expert legal advice and support on matters related to corporate credit business, financial institutions, deposits, and HR issues. The Senior Legal Counsel will play a critical role in ensuring that the bank's operations are compliant with all applicable laws and regulations while supporting strategic business initiatives.

Key Responsibilities:

1. Corporate Credit Business:

   • Provide legal advice on structuring, negotiating, and documenting various types of corporate credit facilities, including syndicated loans, project finance, and trade finance.
   • Draft, review, and negotiate loan agreements, security documents, and other related legal documentation.
   • Advise on regulatory compliance and risk management related to corporate credit transactions.

2. Financial Institutions:

   • Advise on legal matters related to relationships with financial institutions, including correspondent banking, interbank lending, and financial services agreements.
   • Draft, review, and negotiate agreements with financial institutions, ensuring alignment with legal and regulatory requirements.
   • Provide legal support on matters related to payment systems, clearing, and settlement processes.

3. Deposits and Treasury Operations:

   • Provide legal support on issues related to deposit products, including savings accounts, fixed deposits, and other treasury operations.
   • Draft and review deposit agreements, treasury documentation, and ensure compliance with local and international regulations.
   • Advise on legal issues related to liquidity management and investment activities.

4. Human Resources (HR) Matters:

   • Provide legal advice on employment law, employee contracts, and HR policies and procedures.
   • Support the HR department in handling employee relations, dispute resolution, and compliance with labor laws.
   • Draft and review employment contracts, non-compete agreements, and other HR-related documentation.

5. Regulatory Compliance:

   • Monitor and interpret legal developments and regulatory changes affecting the banking sector, ensuring the bank's practices are compliant.
   • Work closely with the Compliance department to address any regulatory issues that arise.
   • Represent the bank in legal proceedings, regulatory investigations, and negotiations as needed.

6. Risk Management:

   • Identify potential legal risks in various transactions and propose risk mitigation strategies.
   • Provide legal support for the development and implementation of risk management policies and procedures.

7. General Legal Support:

   • Provide general legal advice and support to all departments within the bank as required.
   • Ensure the legal interests of the bank are protected in all business activities.
   • Prepare and conduct legal training sessions for bank staff on relevant legal issues.

Qualifications:

• Law degree from a recognized university.
• Minimum of 5 years of experience in legal practice, with a focus on banking and finance.
• In-depth knowledge of corporate credit, financial institutions, deposit products, and employment law.
• Strong drafting, negotiation, and communication skills.
• Ability to work independently and as part of a team.
• Fluent in English, with proficiency in legal drafting.
