Corporate Legal Conusel

Responsibilities:

• Drafting, reviewing, and negotiating a wide range of corporate legal documents, including transactional documents such as LoI, TS, APA, SPA, SSA, and SHA;
• Advising on M&A transactions, including due diligence, contract negotiation, and integration processes;
• Structuring and documenting corporate transactions, ensuring all necessary documentation is accurately prepared and maintained;
• Managing with the establishment of new companies;
• Regularly reviewing and updating document templates to ensure compliance with current laws and regulations;
• Providing strategic legal advice to management and ensuring compliance with various EU and non-EU jurisdictions;
• Conducting legal research and analysis to support ongoing and new projects.

We are looking for you if:

• Abbreviations like SHA, APA, and SPA don't make you yawn; they excite you;
• DD means more than just a due date to you; it's a process you've mastered;
• Drafting legal documents is your idea of a good time;
• You have at least 3 years of experience in a legal counsel role within a corporate setting.
• You have a Bachelor's degree in Law or even an LLM;
• You have a strong background in English law;
• Your negotiation and communication skills can rival the best;
• You've worked in a multinational environment and are familiar with handling legal matters across multiple jurisdictions, particularly in the EU;
• Analytical and problem-solving abilities are your forte;
• You thrive both independently and as part of a dynamic team;
• Fluency in English and Russian is a must; additional language skills are a bonus.
